These Terms govern your use of n-bac.com, our member areas (N-BAC Academy), resources, programs, events, and any services we provide (collectively, the “Services”). By using the Services, you agree to these Terms.

1) Who we are

N-BAC (“we,” “us,” “our”) provides leadership development training, coaching, workshops, and speaking.

2) Accounts & eligibility

You must be 18+ to create an account or purchase. You are responsible for safeguarding your login credentials and for activity under your account.

3) Orders, payments & taxes

Payments are processed by Stripe or our designated processor. You authorize us to charge your selected payment method. Prices exclude applicable taxes unless stated. We may correct pricing errors.

4) Programs, access & schedule

Access to digital programs, courses, or downloads is provided as described at purchase. We may update content, features, or availability. For live sessions, we may reschedule due to facilitator availability or events beyond our control (we’ll notify you and offer a suitable alternative).

5) Cancellations & refunds

Unless a specific program page or agreement states otherwise:

Speaking/onsite engagements: deposits are non-refundable; balance due per SOW/contract.

Workshops/coaching packages: cancellations require written notice; credits or rescheduling may be offered at our discretion.

Digital downloads/courses: non-refundable after access is granted.
Any custom terms in your proposal/SOW control if they differ from these Terms.

6) No professional advice; results vary

Our content and coaching are for educational and organizational development purposes only and do not constitute legal, financial, medical, or HR advice. Results vary based on context, participation, and execution; we do not guarantee specific outcomes.

7) Acceptable use

You agree not to: (a) infringe IP rights; (b) upload unlawful, confidential, or harmful content; (c) attempt to access systems without authorization; (d) interfere with operation of the Services; or (e) use the Services to compete by copying or redistributing proprietary materials.

8) Intellectual property & license

All site content, curriculum, frameworks, tools, videos, and downloads are our or our licensors’ intellectual property. We grant you a limited, non-exclusive, non-transferable license to use materials for your internal, non-commercial use (or, if you are an enterprise client, per your SOW). You may not share, resell, post publicly, or create derivative works without written permission.

9) User content & testimonials

If you submit feedback, testimonials, comments, or materials, you grant us a worldwide, royalty-free license to use, reproduce, and display such content for operations and marketing (you can opt out of testimonial use by emailing [email protected]).

10) Third-party services

We use third-party tools (e.g., GoHighLevel, Zoom, Stripe, Google). Your use of those tools may be subject to their terms and policies.

11) Electronic communications & SMS

You consent to receive service notices and account communications electronically. If you opt in to SMS, you agree to receive automated texts; reply STOP to opt out. Msg & data rates may apply.

12) Confidentiality (enterprise)

If we enter a separate NDA or SOW with confidentiality terms, those terms control. Otherwise, each party will use reasonable care to protect the other’s non-public information disclosed for the engagement.

13) Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS/REVENUE/GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE EVENT.

15) Indemnity

You agree to defend and indemnify us against claims arising from your misuse of the Services or violation of these Terms.

16) Changes, suspension & termination

We may modify, suspend, or discontinue any part of the Services. We may terminate or suspend access for violations of these Terms. We may update these Terms; the “Effective date” will reflect changes.

17) Governing law & venue

These Terms are governed by the laws of the Commonwealth of Virginia, USA, without regard to conflict-of-law rules. You consent to the exclusive jurisdiction and venue of state and federal courts located in Virginia for any dispute not subject to a separate written dispute-resolution agreement.

18) Miscellaneous

These Terms (plus any SOW or order form) are the entire agreement for the Services. If a provision is unenforceable, the remainder remains in effect. No waiver is effective unless in writing.
